Hampshire Harvest – Terms & Conditions of Sale
Effective Date: May 2026
These Terms & Conditions apply to all quotations, sales, supply agreements, manufacturing services, and deliveries undertaken by Hampshire Harvest (“the Company”).
1. Definitions
In these Terms & Conditions:
“Company” means Hampshire Harvest.
“Customer” means the person, company, partnership, or organisation purchasing goods or services from the Company.
“Goods” means all products supplied by the Company including, but not limited to, granola, roasted seeds, flavoured seeds, nut-based products, snacks, private label products, ingredients, packaging, and associated food products.
“Order” means any purchase order, written instruction, or request for Goods submitted by the Customer.
“PO” means purchase order.
“MOQ” means minimum order quantity.
“Working Day” means any day excluding Saturdays, Sundays, and public holidays in England.
2. General
2.1 These Terms & Conditions shall apply to all quotations, orders, contracts, deliveries, and invoices issued by the Company.
2.2 No variation to these Terms & Conditions shall be binding unless agreed in writing by an authorised representative of the Company.
2.3 Any terms submitted by the Customer shall not apply unless expressly accepted in writing by the Company.
2.4 Acceptance of delivery of Goods shall constitute acceptance of these Terms & Conditions.
2.5 These Terms supersede any prior agreements, understandings, or arrangements unless otherwise agreed in writing.
3. Product Development & Pre-Ordering
3.1 Initial pricing provided on the day of enquiry is indicative only and intended solely to establish whether the product can be produced within the Customer’s target price range.
3.2 Indicative pricing does not constitute a binding quotation or offer.
3.3 A formal quotation shall only be issued once product samples have been produced and approved by the Customer.
3.4 All quotations are valid for 15 Working Days from the date of issue unless otherwise stated.
3.5 Prices quoted are delivered prices unless otherwise specified in writing.
3.6 All prices remain subject to:
raw material availability;
ingredient market fluctuations;
packaging availability;
transport costs;
energy and labour costs;
exchange rate movements where applicable.
3.7 The Company reserves the right to amend quotations prior to order confirmation where material cost increases occur beyond its reasonable control.
3.8 Product development work undertaken by the Company may incur development charges, including but not limited to sampling, sourcing, formulation, testing, nutritional analysis, packaging trials, or bespoke ingredient procurement.
3.9 Unless otherwise agreed, all product formulations, concepts, processing methods, and development materials remain the intellectual property of the Company.
4. Orders & Order Acceptance
4.1 A written purchase order (“PO”) must be received before any Order can be processed.
4.2 Email confirmation from an authorised representative of the Customer shall be deemed acceptable.
4.3 Orders are subject to written acceptance by the Company.
4.4 The Company reserves the right to reject any Order at its discretion.
4.5 Once accepted, Orders may not be amended or cancelled without the Company’s prior written consent.
4.6 Any cancellation may be subject to charges including, but not limited to:
raw materials purchased;
packaging ordered;
labour incurred;
production scheduling costs;
storage charges;
transport charges;
administrative costs.
4.7 The Customer is responsible for ensuring that all Order details, specifications, quantities, artwork, and delivery information are accurate.
5. Minimum Order Quantities
5.1 Minimum order quantities (“MOQs”) vary by product and shall be confirmed by the Company as early as reasonably possible.
5.2 Approximate MOQ guidelines are:

5.3 Standard MOQ is generally one pallet per SKU unless otherwise agreed.
5.4 The Company may, at its discretion, agree to produce or hold smaller quantities.
5.5 Additional charges may apply for:
sub-MOQ production;
split production runs;
stock holding;
additional handling;
non-standard packaging;
bespoke ingredient sourcing.
6. Lead Times
6.1 Lead times commence only once the Company has received:
approved samples;
signed specifications;
approved artwork where applicable;
completed New Customer Form;
confirmed PO;
any required deposit payment.
6.2 Lead time for first orders is approximately 15 Working Days (3 weeks).
6.3 Standard lead time for repeat orders is approximately 10 Working Days (2 weeks).
6.4 Lead times are estimates only and are not guaranteed.
6.5 The Company shall not be liable for delays caused by:
raw material shortages;
transport disruption;
machinery breakdown;
labour shortages;
supplier failures;
adverse weather;
customs delays;
utility interruption;
events beyond reasonable control.
7. Specifications & Artwork
7.1 The Customer is solely responsible for ensuring the accuracy and legality of all artwork, branding, claims, nutritional information, barcodes, and packaging content supplied.
7.2 Final artwork approval must be provided in writing before production can commence.
7.3 The Company accepts no liability for errors present in approved artwork.
7.4 Any amendments requested after approval may result in additional charges and delays.
7.5 The Customer warrants that all branding, trademarks, logos, and materials supplied do not infringe any third-party intellectual property rights.
7.6 The Customer shall indemnify the Company against all claims arising from artwork, branding, or labelling supplied by the Customer.
8. Product Specifications & Tolerances
8.1 Natural variation may occur in colour, flavour, texture, appearance, seasoning distribution, ingredient size, and product consistency.
8.2 Minor variation between samples and production batches shall not constitute grounds for rejection.
8.3 Weight tolerances shall comply with applicable UK legislation and accepted manufacturing tolerances.
8.4 The Company reserves the right to substitute ingredients where necessary due to availability, provided product integrity is maintained.
8.5 Nutritional values are provided as indicative values unless independently laboratory tested.
9. Food Safety & Allergens
9.1 The Company operates food manufacturing facilities handling allergens including, but not limited to:
nuts;
peanuts;
sesame;
cereals containing gluten;
milk;
soy.
9.2 Whilst robust allergen controls are in place, the Company cannot guarantee the absence of trace allergens unless expressly agreed in writing.
9.3 Customers are responsible for ensuring finished product labelling complies with all applicable food safety and allergen legislation.
9.4 The Company reserves the right to amend allergen statements where manufacturing conditions or ingredient supply changes require it.
9.5 The Customer shall ensure Goods are stored, handled, transported, and sold in accordance with food safety best practice.
9.6 The Company shall not be liable for contamination, spoilage, or quality deterioration occurring after delivery.
10. Shelf Life & Storage
10.1 Shelf life guidance is provided in good faith based on expected storage conditions.
10.2 Unless otherwise specified, Goods should be stored:
in a cool, dry environment;
away from direct sunlight;
free from contamination risks;
in sealed packaging.
10.3 Failure to comply with recommended storage conditions voids any quality claims.
10.4 Stock rotation remains the responsibility of the Customer.
11. Delivery & Collection
11.1 Delivery dates are estimates only.
11.2 Time for delivery shall not be of the essence.
11.3 The Company shall not be liable for losses arising from delayed delivery.
11.4 Customer collections are welcome and will receive a £40 discount per pallet collected unless otherwise agreed.
11.5 Risk in the Goods passes to the Customer upon:
delivery;
unloading;
collection by the Customer or its carrier.
11.6 The Customer shall ensure suitable access and unloading facilities are available.
11.7 Failed deliveries caused by the Customer may incur redelivery and storage charges.
11.8 Pallets, containers, or reusable packaging remain the property of the Company unless otherwise stated.
12. Inspection, Claims & Returns
12.1 The Customer must inspect Goods immediately upon delivery.
12.2 Any shortages, damages, defects, or discrepancies must be reported in writing within 7 days of delivery or invoice date.
12.3 Claims submitted outside this period shall not be accepted.
12.4 No Goods may be returned without prior written authorisation.
12.5 The Company reserves the right to inspect disputed Goods before agreeing any refund, replacement, or credit.
12.6 The Company shall not accept returns for:
products stored incorrectly;
products beyond shelf life;
customer handling damage;
opened or partially consumed stock;
customer forecasting errors.
13. Pricing & Payment
13.1 All prices are exclusive of VAT unless otherwise stated.
13.2 Subject to approval, Customers may be offered a credit facility of 30 days from invoice date.
13.3 The Company reserves the right to withdraw or amend credit terms at any time.
13.4 The Company may require:
payment in advance;
staged payments;
deposits;
pro-forma payment.
13.5 Late payments may result in:
suspension of deliveries;
cancellation of Orders;
withdrawal of credit facilities;
refusal of future supply.
13.6 Interest may be charged on overdue balances at 4% above the Bank of England base rate.
13.7 The Customer shall pay all invoices in full without deduction, withholding, counterclaim, or set-off.
14. Retention of Title
14.1 Goods remain the property of the Company until paid for in full.
14.2 Until title passes, the Customer shall:
store Goods separately;
maintain Goods in satisfactory condition;
clearly identify Goods as property of the Company.
14.3 The Company reserves the right to recover unpaid Goods.
14.4 The Customer grants the Company access to premises for the purpose of recovering Goods where payment remains outstanding.
15. Product Recall & Traceability
15.1 The Company maintains traceability systems appropriate to food manufacturing operations.
15.2 The Customer shall maintain adequate traceability records relating to Goods supplied.
15.3 The Customer shall immediately notify the Company of any:
customer complaints;
food safety concerns;
regulatory investigations;
suspected contamination;
adverse incidents.
15.4 The Company reserves the right to initiate product withdrawal or recall procedures where necessary.
15.5 Customers shall cooperate fully with any recall process.
15.6 Costs arising from Customer negligence, relabelling, repacking, improper storage, or misuse shall remain the responsibility of the Customer.
16. Limitation of Liability
16.1 Nothing within these Terms shall exclude liability for:
death or personal injury caused by negligence;
fraud or fraudulent misrepresentation;
any liability which cannot legally be excluded.
16.2 Subject to clause 16.1, the Company’s total liability arising from any claim shall not exceed the invoice value of the affected Goods.
16.3 The Company shall not be liable for:
indirect losses;
consequential losses;
loss of profit;
loss of business;
loss of reputation;
loss of contracts;
product withdrawal costs beyond direct replacement value.
16.4 The Customer acknowledges that food products are natural products and may contain minor variation.
17. Force Majeure
17.1 The Company shall not be liable for failure or delay caused by circumstances beyond its reasonable control.
17.2 Such circumstances include, but are not limited to:
acts of God;
flood;
fire;
war;
terrorism;
industrial disputes;
epidemics or pandemics;
government restrictions;
transport interruption;
power failures;
supplier shortages.
17.3 The Company reserves the right to allocate available stock and production capacity fairly between Customers during periods of shortage.
18. Intellectual Property
18.1 All intellectual property rights belonging to the Company shall remain the property of the Company.
18.2 Unless expressly agreed otherwise in writing, product formulations, manufacturing methods, recipes, sourcing methods, specifications, and development work remain confidential and proprietary.
18.3 The Customer shall not reproduce, disclose, or exploit confidential information supplied by the Company.
19. Confidentiality
19.1 Both parties shall keep confidential all commercial, technical, pricing, and operational information disclosed during the business relationship.
19.2 Confidential information shall not be disclosed to third parties except where required by law.
20. Compliance with Law
20.1 The Customer shall comply with all applicable:
food safety laws;
labelling regulations;
import/export requirements;
advertising laws;
trading standards requirements.
20.2 The Customer is responsible for ensuring Goods are lawful for sale within intended markets.
21. Ethical Trading & Sustainability
21.1 The Company reserves the right to source ingredients from approved suppliers only.
21.2 Ingredient origin may vary depending on seasonal and market conditions.
21.3 Sustainability claims shall only be used where independently verified or agreed in writing.
22. Termination
22.1 The Company may terminate supply immediately where the Customer:
breaches these Terms;
becomes insolvent;
enters administration or liquidation;
fails to pay invoices when due;
acts unlawfully or fraudulently.
22.2 Termination shall not affect accrued rights or outstanding payment obligations.
23. Governing Law
23.1 These Terms & Conditions shall be governed by and construed in accordance with the laws of England and Wales.
23.2 The courts of England and Wales shall have exclusive jurisdiction.
24. Entire Agreement
24.1 These Terms & Conditions constitute the entire agreement between the parties.
24.2 No reliance shall be placed upon representations not expressly contained within these Terms.
25. Severability
25.1 If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
